A Company Secretary with a Law degree having Masters in Physics, Sudhanshu Kumar Singh has rich experience of around two decades in handling all legal matters including matters involving arbitration, matters relating to FEMA, settlement of various claims, drafting and vetting of various agreements, deeds etc. including provident fund matters (in legal domain).
He has been part of core group of policy drafting on Corporate Social Responsibility, audit of the CSR activities and all other aspects related to CSR including FCRA. He also has compliance expertise in connection with corporate laws applicable to listed as well as unlisted entities. Sudhanshu has also been involved in project finance, setting up of manufacturing units, obtaining licenses from DGFT, release of bank guarantees from Customs Dept., registration/approval under FCRA, dealing with excise and service tax matters, etc. He has been involved in drafting and implementation of Employee Stock Option Plan, Preferential Allotment and has handled transactions for funding, including evaluation of various proposals by the bankers to the Company.
Sudhanshu also specializes in mergers & acquisitions, restructuring of business, asset & share purchase deals, takeovers, divestitures, securities offerings, structuring of complex debt and equity investments and general corporate advisory. He also has a wide range of experience in cross-border business transactions, private equity, angel and venture capital round financings, joint ventures, strategic alliances and business divorces. His extensive business law and transactional experience includes corporate finance, corporate reorganizations, corporate governance, exchange control regulations advisory, entity formation and maintenance, and the drafting and negotiation of a variety of commercial agreements. He advises big ticket investing in the various big industry sectors in India such as Energy, Telecom, Health and IT.
Sudhanshu has also provided advisory to various players in the Aviation Sector and he also has significant exposure to in work related to the Environmental Policy and regulatory and compliance work in respect of the same. He has corporate exposure with big groups like NDTV, CNN-IBN, ZOOM, Philips, Focus etc. extending to leading the corporate arm of law firm(s) and handling all the four verticals i.e. Legal, Secretarial, Regulatory and Compliances. He is presently serving as Director on the Board of various Companies and is part of core advisory group of NGOs.
